These Terms & Conditions ("Terms") govern your access to and use of the website, client portal, applications, and services provided by Utah Safety Institute, LLC, doing business as Critical Dynamics Risk Management ("CDRisk," "we," "us," or "our"). By accessing or using our services, you agree to these Terms. If you do not agree, do not use our services.

1. Eligibility and accounts

You must be at least 18 years old and able to form a binding contract to use our services. If you use our services on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.

2. Our services; not legal advice

We provide risk audits, loss-control surveys, safety inspections, competent-person and other training, and related safety programs and software tools. Our services are intended to support your safety and compliance efforts but do not constitute legal advice, a guarantee of regulatory compliance, or a warranty that any site, equipment, or program is free of hazards. Compliance is the floor, not the ceiling — responsibility for workplace safety and for acting on our recommendations remains with you.

3. Fees, payment, and subscriptions

Fees for services, training, and programs are as quoted or as published at the point of purchase. Recurring subscriptions renew automatically for successive terms until cancelled, and you authorize us and our payment processor to charge your payment method for applicable fees and taxes.

Unless stated otherwise in a signed agreement or required by law, fees are non-refundable once services have been performed. Travel, lodging, and related costs may be billed at cost as set out in your quote or agreement.

4. Text messages (SMS)

If you opt in to text messages, you consent to receive service and notification texts from us. Message frequency varies and message and data rates may apply. Reply STOP to opt out or HELP for help. Consent to texts is not a condition of purchase.

5. Acceptable use

You agree not to:

  • Use the services unlawfully or in violation of these Terms;
  • Access accounts, data, or systems you are not authorized to access;
  • Upload malware or interfere with the security or operation of the services;
  • Reverse engineer, scrape, or copy the platform except as permitted by law;
  • Misrepresent your identity or submit false inspection or compliance information;
  • Use the services to infringe the rights of others.

6. Your content and data

You retain ownership of the data, documents, and photographs you submit ("Your Content"). You grant us a license to host, process, and use Your Content to provide and improve the services, generate reports and certificates, and meet our legal obligations. You represent that you have the rights necessary to submit Your Content and that doing so does not violate any law or third-party right.

7. Intellectual property

The services, including our software, templates, report formats, training materials, text, graphics, and logos, are owned by us or our licensors and are protected by intellectual-property laws. Except for the rights expressly granted to you, we reserve all rights. You may not use our marks without our prior written permission.

8. Third-party services

Our services rely on third-party providers (for example, payment, email, messaging, hosting, and storage providers). Your use of those features may be subject to the third party’s terms, and we are not responsible for third-party services.

9. Disclaimers

Except as expressly stated in a signed agreement, the services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the services will be uninterrupted, error-free, or that results will meet your requirements.

10. Limitation of liability

To the maximum extent permitted by law, CDRisk and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to the services. Our total liability for any claim relating to the services will not exceed the amount you paid to us for the services giving rise to the claim in the twelve (12) months before the event. Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

11. Indemnification

You agree to indemnify and hold harmless CDRisk and its owners, employees, and contractors from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the services, Your Content, or your violation of these Terms or applicable law.

12. Termination

You may stop using the services at any time. We may suspend or terminate access if you violate these Terms, if required by law, or to protect the services or other users. Provisions that by their nature should survive termination (including ownership, disclaimers, limitation of liability, and indemnification) will survive.

13. Governing law and disputes

These Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws rules. Subject to any mandatory consumer protections, the state and federal courts located in Utah will have jurisdiction over disputes, and you consent to that jurisdiction and venue. Before filing a claim, you agree to first contact us so we can try to resolve the matter informally.

14. Changes to these Terms

We may update these Terms from time to time. The “Effective date” above shows when they last changed. Your continued use of the services after an update means you accept the revised Terms.
